All,
Here is how I was able to get the deauthorization tool to work;
You will have to get the ArcGIS_Deauthorization_Tool from here;

Unzip the downloaded file and remember the location it unzipped to.
Run the file called "Deauthorize.bat" inside the folder created by the zip file.
You may need to wait a day after the file is run to let their system update itself.
Restart the computer, this stops and starts the license server on the computer.
Open ArcGIS Administrator
Select the folder "Desktop"
Be sure "Advanced (ArcInfo) Single Use" is selected.
Click the button "Authorize Now"-- This will launch the Authorization Wizard.
Select the first option "I have installed my software and need to authorize it." click next
Select the second option- Authorize at ESRI's website and click next
Fill in the required information on both pages and click next
Enter the authorization code that came with the DVD and click next.
Save the file-don't change the name-and remember where you saved it.
Click on the link to upload it to the ESRI website.
At ESRI's website click on browse and go to where you saved the file and upload it. Stay at that webpage.
The response should be fairly quick. They will give you a file to download from the same page you uploaded. Remember where you saved it.
Go back to the Authorization Wizard and click back until you come to the beginning and select the third option.
"I have received an authorization file from ESRI and am now ready to finish the authorization process"
Browse to where the file you downloaded is and select it.
once it is listed in the location box select next.
The wizard will read the file and tell you the results.
If you want to see what they authorized and when it expires. Reopen ArcGIS Administrator and select the folder "Availability". This will show you every piece of ArcGIS and which pieces are authorized.
I use ArcGIS 10.1 Desktop Advanced Student Edition on Windows 7 64bit.
